1. Accepting these terms

These Terms of Use ("Terms") govern your access to dealcapusa.com and every tool, page, and service we offer on it (together, the "Services"). By using the Services you agree to these Terms. If you do not agree, please do not use the Services.

If you use the Services on behalf of a company, partnership, trust, or other entity, you represent that you have authority to bind that entity, and "you" means that entity.

2. Who may use the Services

You must be at least 18 years old and legally able to enter contracts. The Services are built for real estate investors, operators, and industry professionals, and are intended for use in the United States. We make no claim that the Services are appropriate or available outside the United States.

3. What VERDICT is — and what it is not

VERDICT is a free underwriting calculator. It takes numbers you enter, runs them through documented formulas, and returns a score, a set of insights, and a full math trail showing every step.

VERDICT tests whether your numbers work. It does not verify whether your numbers are true.

That distinction matters, so here it is in specifics. VERDICT does not:

• appraise property or establish market value;
• verify your purchase price, rehab budget, after-repair value, rents, comparable sales, or timeline;
• inspect property or assess physical condition;
• confirm what any lender will actually approve, price, or fund;
• predict what a seller, buyer, contractor, or market will do;
• constitute an appraisal, a broker price opinion, an inspection report, a loan commitment, a securities offering, or investment, legal, tax, or accounting advice.

A score is arithmetic performed on your assumptions. If an input is wrong, the output will be wrong in the same direction, and confidently so. Independently verify your inputs — with licensed appraisers, inspectors, contractors, title professionals, attorneys, and tax advisors — before you commit money to any transaction.

VERDICT's scoring bands and thresholds reflect our own underwriting judgment and industry benchmarks. They are opinions, not standards, and we refine them over time. A score you receive today may differ from the score the same deal receives after a future update.

4. Funding introductions

DealCap USA is not a lender. We do not originate, underwrite, approve, price, commit, or fund loans, and we do not make credit decisions. When you request funding, we route your request to independent third-party capital partners who make their own decisions under their own terms.

Nothing on the Services is a commitment to lend, an offer of credit, a pre-approval, or a guarantee that funding will be available on any particular terms, in any particular amount, or at all. Any figure, rate, fee, term, or timeline shown on the Services is illustrative and subject to a capital partner's own underwriting, documentation, and final approval.

Terms, availability, and pricing vary by partner, deal, property, jurisdiction, and borrower. We may receive compensation from capital partners in connection with transactions that originate from the Services. See our Disclosures for more.

5. Your responsibilities

You agree that you are solely responsible for:

• the accuracy and completeness of every input you submit;
• your own due diligence on any property, counterparty, or transaction;
• every investment, purchase, financing, and disposition decision you make;
• complying with all laws that apply to your activity, including real estate licensing, disclosure, advertising, fair housing, and lending laws in your jurisdiction;
• engaging your own licensed professionals where their expertise is required.

You agree not to misuse the Services — including by attempting to breach or probe security, scraping or bulk-extracting content by automated means, reverse-engineering our models, reselling or white-labeling our output as your own product, submitting another person's confidential information without authority, uploading malicious code, or using the Services for any unlawful, fraudulent, or deceptive purpose.

6. Intellectual property

The Services, including the DealCap USA and VERDICT names and marks, the interface, the underwriting logic and scoring methodology, the copy, and the design, are owned by DealCap USA and protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your own real estate business.

The deal numbers you enter remain yours. You grant us a license to process them to deliver the Services, to support you, and to improve our tools — in the case of improvement, on a de-identified and aggregated basis, as described in our Privacy Policy.

7. Third-party services and links

The Services may link to or rely on third parties, including capital partners, hosting and form infrastructure, and analytics providers. We do not control third parties and are not responsible for their content, products, decisions, privacy practices, or conduct. Your dealings with any third party are between you and that party.

8. Availability and changes

We offer the Services on an "as available" basis. We may change, suspend, limit, or discontinue any part of the Services — including any tool, lane, deal type, or scoring method — at any time and without notice. Some deal types are labeled as preview or coming soon; those are provided for feedback and may not return a score at all.

We may revise these Terms. When we do, we will update the "Last updated" date above and, for material changes, provide more prominent notice. Continuing to use the Services after a revision takes effect means you accept the revised Terms.

9. Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, DEALCAP USA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THAT, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT ANY CALCULATION, SCORE, INSIGHT, OR BENCHMARK IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR SITUATION; OR THAT ANY DEAL EVALUATED THROUGH THE SERVICES WILL BE PROFITABLE, FUNDABLE, OR SUCCESSFUL.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DEALCAP USA AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DEALS, LOST DATA, LOST OPPORTUNITY, DIMINUTION IN VALUE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICES — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

You agree to indemnify and hold harmless DealCap USA and its owners, officers, employees, and agents from any claim, loss, liability, demand, or expense (including reasonable attorneys' fees) arising out of your use of the Services, your inputs, your transactions, your breach of these Terms, or your violation of any law or third-party right.

12. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You and DealCap USA agree that the state and federal courts located in San Diego County, California have exclusive jurisdiction over any dispute arising out of these Terms or the Services, and you consent to personal jurisdiction and venue there.

13. Miscellaneous

If any provision of these Terms is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and Disclosures, are the entire agreement between you and DealCap USA regarding the Services.
